Biography

Ruth Nanjobe is a Senior Legal Associate at TASLAF Advocates, heading the firm's Legal and Regulatory Compliance Practice. She brings a deep understanding of Uganda's legal and institutional framework, particularly in areas essential to the operations of international NGOs and humanitarian organisations. Ruth specialises in corporate governance, tax and regulatory compliance, and institutional structuring — with notable experience advising on AML obligations, data protection compliance, operational licensing and statutory reporting. She also supports clients on corporate finance, M&A, private equity transactions and fund structuring.

NGO Legal & Regulatory Compliance

  • Provides legal and regulatory compliance advisory to leading NGOs and non-profits in Uganda — including Mercy Corps, SNV Netherlands, Church World Service, Village Enterprise Fund, ABA, Human Trafficking Institute, Jhpiego, Johanniter, ICTJ, HEKS/EPER, ACORD, Wildlife Conservation Society, African Wildlife Foundation, AVSI Foundation, OneWorld Health, Imprint Hope, Medical Teams International, Forgotten Children Worldwide, Grameen Foundation, War Child Holland, Chapter Four Uganda, Human Rights Network and Handicap International.
  • Provided a detailed legal opinion to SNV Netherlands on its corporate structure and ongoing compliance with the NGO Bureau and URSB.
  • Advised ACORD on restructuring its governance framework following its transition from an INGO to a local entity — drafting a new Board Charter and overseeing the redrafting of the ACORD Constitution and transition policies.
  • Assisted Every Shelter Inc. in setting up operations in Uganda as an International NGO; supported One World Health on its conversion from foreign NGO to International NGO.
  • Supported Mercy Corps, Jhpiego, ICTJ and Village Enterprise Fund with NGO permit renewals and ongoing NGO Bureau compliance.
  • Developed comprehensive gender policy and data-protection and privacy policy for African Humanitarian Action; reviewed data-protection, IT and safeguarding policies for IIDC.
  • Provided corporate governance support to the Blockchain Association of Uganda — developing its governance and operational manuals.
  • Provided legal support in the registration and establishment of the Uganda Bio-Diversity Trust Fund as a charitable trust.
  • Acted for Water for People Uganda on the formation, registration and licensing of 12 newly formed pit-emptying social enterprises across Kole, Pallisa and Nansana, and developed sanitation by-laws for Pallisa Town Council.

Corporate Finance

  • Consultancy to the Deal Flow Facility (FSDU) on a comprehensive legal and regulatory review of private equity fund structuring and operations in Uganda — including guidance notes on PE taxation and on registration, regulation and licensing of fund structures (Nov 2025–ongoing).
  • Supported the Deal Flow Facility in delivering technical assistance to an emerging agribusiness seeking USD 300,000 equity investment.
  • Advised the Redsalt Angel Investment Network (R.A.I.N) on its inaugural equity financing of Ugandan SMEs — full due diligence and transactional support (2024–2025).
  • Conducted due diligence and transactional support for Incofin Investment Management NV on a senior secured working-capital loan to a Ugandan organic-products company (2024–2025).
  • Provided transactional support to Global Social Impact Investments SGIIC SAU on a USD 5 million loan facility to a Ugandan coffee processor (2025).
  • Provided transactional support to the Agri-business Capital Fund (ABC Fund) on a loan facility to a Ugandan coffee exporter (2025).
  • Acted for Latitude Trading Company on blended financing with Ground Up Investing LLC — USD 400,000 convertible note, USD 200,000 revolving loan and shareholder agreement.
  • Advised BluePeak Private Capital GP and Prime Supplies Holdings on a USD 20 million financing leading to a merger and minority buyout in Primefuels Uganda Limited.
  • Acted for HEKS/EPER as lender on facilities to Patasente Limited, Landmark Millers Limited (USD 400,000) and ApTech Africa Limited (USD 400,000).
  • Acted for Musana Community Development Organisation on a USD 3,000,000 loan facility, and for Great Lakes Coffee on a USD 750,000 facility from K2 International Metal Pte. Ltd.

Mergers, Acquisitions & Fund Set-up

  • Acted for Inua Impact Fund Limited on the sale and subscription of shares in Inua Fund Limited, including company secretarial services.
  • Acted for Spouts of Water as investee on the proposed USD 4.5 million acquisition of shares by C-Quest Capital LLC in Spouts of Water International.
  • Assisted Mercy Corps with a legal assessment and regulatory feasibility study for a humanitarian energy-focused financing facility in Uganda.
  • Assisted BidCapital Partners on the setup and structuring of the Impact Mezzanine Fund (USD 500,000 seed capital) and its operations in Uganda.
  • Assisted iGravity on the setup and structuring of the USD 2,000,000 Refugee Investment Facility.

PPP & Special Projects

  • Legal Advisor on a Grant Thornton-led consortium contracted by the World Bank Group and the Ministry of Finance to assess Uganda's PPP framework at Local Government level — developed Local Government PPP guidelines and facilitated stakeholder workshops.
  • Assisted in setting up a commercial energy services company in Uganda to receive funding from the World Bank-funded Uganda Electricity Access Scale-Up Project (EASP) for electrifying humanitarian settlements.
  • Advised an international philanthropic fund on risk-informed guidelines for setting up and using fiscal sponsors based within and outside Uganda.
  • Advised Millennium Promise Alliance Inc. on its corporate restructuring and the registration of Millennium Promise as a not-for-profit in Uganda.
