Biography
Jemimah Mugume Atukunda is a Senior Associate at TASLAF Advocates and Head of the Corporate, M&A and Impact Finance Department. She leads and supervises a team of associates and trainees across corporate finance, impact investment and commercial advisory work, with strong experience advising international organisations, impact funds, and commercial clients operating in Uganda. Her practice covers financing transactions, investment structuring, regulatory compliance, contract drafting and litigation support, and she has acted for borrowers, lenders, investors and funds across blended financing, venture debt, convertible notes, revolving loan facilities, shareholder arrangements and restructuring transactions.

- Leads and supervises a team of associates and trainees within the Corporate, M&A, Impact Finance and Corporate/Commercial Advisory Department.

- Provided legal transaction support to Kiva Capital on the disbursement of a loan facility to a cooperative society — advising on structuring, documentation and execution (2026).
- Advised Incofin Investment Management NV on a senior secured working capital loan to Agri Exim Limited — structuring, security and transaction documentation (2026).
- Advised Redsalt Angel Investment Network (R.A.I.N) on its inaugural equity financing of Ugandan SMEs (2024 – 2025).
- Advised Incofin Investment Management NV on a USD 3,000,000 senior secured working capital loan to a Ugandan agricultural company (2024 – 2025).
- Advised KIVA Capital Management on a USD 1,500,000 loan facility to a Ugandan microfinance institution serving women through group credit (2023).
Transactional Legal Support
- Led legal due diligence on client companies covering licensing, registration, governmental and borrowing requirements.
- Oversaw tax compliance reviews, management and board background checks, and reputational risk assessments (AML, anti-terrorism, anti-corruption).
- Reviewed and supervised drafting of loan agreements, land mortgage deeds, deeds of assignment and other security documentation under Ugandan law.
- Oversaw registration of financing agreements with local authorities and ensured timely regulatory filings.
- Reviewed and issued legal opinions confirming borrower standing and transaction compliance with Ugandan legal requirements.
M&A, Corporate Restructuring & Private Equity
- Advising a Ugandan NGO on the acquisition and transfer of assets from another NGO — transaction structuring, regulatory compliance, governance, due diligence and asset transfer arrangements (2026).
- Assisted in a merger and minority buyout involving Prime Supplies Holdings and Prime Logistics, and BluePeak Private Capital GP's USD 20,000,000 financing for the restructuring of Primefuels Uganda Ltd (April 2023).
- Acted for Inua Impact Fund Limited on sale and subscription of shares and company secretarial matters.
- Supported corporate restructurings and share transfers for Mara Agribusiness Ltd and Maxtrace Ltd.
- Acted on HEKS/EPER USD 400,000 facilities to Landmark Millers Limited and Patasente Limited; Musana Community Development Organisation USD 3,000,000 facility; Latitude Trading Company USD 400,000 convertible note and USD 200,000 revolving loan.
Fund Structuring & Market Entry
- BidCapital Partners — set up and structured a USD 500,000 Impact Mezzanine Fund.
- iGravity — set up a USD 2,000,000 Refugee Investment Facility.
- Small Foundation — set up an early venture debt facility (March 2023).
- Advises investment funds, NGOs, fintechs and multinationals on market entry, licensing, permits and operational compliance in Uganda.
- Leads regulatory advisory on financial services, NGO regulation, AML compliance and data protection.
Legal & Regulatory Compliance
- Advised multinational funds and corporations on setting up in Uganda, including regulatory registration and licensing (e.g. Bid Capital, Hello Tractor, Inc.).
- Registered and advised companies and NGOs under the Personal Data Protection Office and Uganda's NGO regime.
- Provided regulatory advisory to MCash Uganda on digital financial services and payment systems regulation.
- Trained leading NGOs on financial reporting obligations to the Financial Intelligence Authority.
Dispute Resolution
- Advised clients in employment disputes across all litigation levels.
- Assisted in a landmark insurance coverage dispute regarding loss liability (Kizito Hussein case).
