Ruth is a Legal Associate at TASLAF Advocates. She specialises in Legal and Regulatory Compliance for NGO’s and Companies, Immigration, Pro Bono practice as well as general Corporate Advisory work. Ruth has gained comprehensive experience working with diverse clients, ranging from local start-ups to large multinational corporations. She has offered legal support and corporate advisory to such entities with regard to the non-profit sector compliance obligations, Immigration law, Company Compliance obligations, anti-money laundering obligations as well as data protection and privacy obligations. Ruth holds a Bachelor of Laws (LLB) degree from Uganda Christian University as well as a Post Graduate Diploma in Legal Practice from the Law Development Centre

  1. Legal and Regulatory Compliance & Advisory. 

 

  • Assisted in advising several multinational venture firms on setting up in Uganda and the applicable registration and licencing requirements for their operations.
  • Reviewed various policies developed in connection to Data Protection for various companies such as Impact and Innovations Development Centre (IIDC), among others. (2023)
  • Assisted in advising corporate entities such as Hello Tractor, Inc, Pepperest Limited, Raha App among others on their business formation, incorporation status and registration with the necessary legal authorities. (2022)
  • Assisted in advising leading NGOs such as Agripreneurship Alliance, Human Trafficking Institute, Church World Service, American Bar Association, Jhpiego, Johanniter Unfall Hilfe among others in Uganda on the regulatory and compliance aspects under the Non-Governmental Organizations regime in Uganda including but not limited to registration with the NGO Bureau, renewal of NGO permits, NGO Validation, filing of annual returns and procuring recommendation letters on behalf of NGOs for their Expatriates.   • Assisted in advising expatriate workers working with leading NGO’s and companies on the types of work permits that they should acquire and obtained the necessary permits for them. (2022-to date)

 

  • Employment & Commercial Advisory
  • Drafted and reviewed various contracts such as employment contracts, human resource manuals, volunteer contracts, probation contracts, casual/temporary staff contracts, consultancy contracts, company policies, and tenancy agreements for various entities.
  • Facilitated a Land transaction worth UGX. 125,000,000.
  • Assisted in advising several international and local non-profit organizations on various employment issues regarding the termination of employees and other employment questions such as Medical Teams International, Church World  (2020 – to date)

 

  • Corporate Finance, M&A & Private Equity. 
  • Carried out basic due diligence due diligence on several companies and cooperatives (potential borrowers) on behalf of the Refugee Investment Facility (RIF) and HEKS/EPER (lender) in respect of a proposed loan facility to be made available to any of the successful borrowers. (2023)
  • Assisted in acting for Inua Impact Fund Limited as investee company with respect to the sale and subscription of shares in Inua Fund Limited, rendering company secretarial services and incidental matters.
  • Assisted in acting for Mercy Corps in conducting a legal assessment and regulatory feasibility study for a humanity energy-focused financing facility in Uganda. (pending)
  • Assisted in advising Small Foundation on the set up of an early venture debt facility to tech-enabled intermediaries in Uganda. 
  • Assisted in advising SIDI, a French social enterprise, on the set up and commencement of financing activities in Uganda. 



  • Special Projects 
  • Compiled a Regulatory Compendium highlighting the Ugandan laws relevant to a company operating a business of exporting pulses, fruits and vegetables. This business is part of a highly diversified multinational conglomerate company operating a chain of hypermarkets and retail companies in strategic locations around the world, and is headquartered in Abu Dhabi, United Arab Emirates (2023)
  • Compiled an obligation register detailing the key compliance obligations of an export oriented business under the specific relevant laws. These included compliance obligations under the commercial and trade laws, company laws, anti-money laundering laws, industry-specific laws, environmental laws, IT laws and employment laws. 
  • Assisted the team acting for a leading and well recognized NGO in connection with the assessment of the current legal framework on Fiscal Sponsorship in Uganda and preparation of a report for the operation of fiscal sponsorship in Uganda. (2023)
  • Advising and assisting with the restructuring of the Block Chain Association of Uganda. 

 

  • Social Enterprise/Pro Bono
  • Offered support to the 2021 Sinapis Fast Track Accelerator under the Pro bono arm of the firm where we rendered advice to various enterprises on the following aspects; Intellectual Property, tax compliance, debt and equity financing, export compliance requirements, corporate governance. 
  • Was part of the team that co-ordinated the organisation of the TASLAF/GIZ SME support for trade and export readiness with regards to the African Continental Free Trade Area (AFCFTA) training. 
  • Provided legal and tax support trainings to various social enterprises on a pro bono basis in partnership with major incubators in Uganda. (2022)
  • Provided employment advisory support to various SME’s under the Trust Law Probono Connection. (2022 -2023)
