a) SPECIAL PROJECTS.
 Participated in supporting the Capacity Enhancement of Local Government in
preparing Private Public Partnership (PPP) Guidelines and developing a PPP
Project Pipeline in Uganda. Participated as Legal Advisor for a Grant Thornton-
led Consortium contracted by the World Bank Group and the government of
Uganda (Ministry of Finance) to; assess the legal and institutional framework for
Public Private Partnership (PPP) originating at the Local Government level in
Uganda, develop Local Government specific (PPP) guidelines, facilitate PPP
consultation workshops with key government stakeholders and enhance the
skills of local governments in regards to PPPs.

b) CORPORATE TAX ADVISORY AND COMPLIANCE
Advised KIVA Capital Management LLC as lender in respect of the UGX
3,590,805,000 loan facility (approx. US$ 1,000,000) made available to

UGAFODE Microfinance as a borrower on the tax implications of offshore
lending in Uganda.
 Conducted a comprehensive NSSF audit for Marula Creative Consultancy a
social impact agency specializing in creative storytelling and campaigns for
positive change where we were able to identify the risky areas and had NSSF
waive off the penalties in relation to the period of 2021 to 2022 (2022).
 Carried out a comprehensive Audit for Latitude Chocolate Trading Company
Limited 2018-2019, 2019-and 2020, 2020-2021 for IT, VAT, PAYE, and WHT
(2022
 Successfully objected to the WHT assessment of UGX 133,414,681 for the
period of 2020 to 2021.in relation to Brunswick/Vignectic a company based in
the USA with a branch in Uganda contracted by the USAID.
Conducted a tax health check within the due diligence on Aptech Africa
Limited, Patasente Limited, and Landmark Millers (the borrowers) on behalf of
HEKS/EPER (lender) in respect of a proposed US$ 400,000US$ 460,000 and
US$400,000 loan facilities to be made available to the borrowers respectively.

 Conducting basic tax due diligence on several companies and cooperatives
(potential borrowers) on behalf of the Refugee Investment Facility (RIF) and
HEKS/EPER (lender) in respect of a proposed loan facility to be made
available to any of the successful borrowers. (2023)
Advised Spouts of Water Uganda on a critical tax matter where Spouts of Water
sought URA to grant income tax exemption for a period of ten years and
sought a private ruling on the exemption of the Value Added Tax on the supply
of ceramic water Filters on the basis that it’s designed in a way to alleviate
waterborne disease.
 We advised Spouts of Water a large multinational manufacturing corporation
with operations in Uganda and Rwanda in a major restructuring that involved
setting up a holding company in Mauritius, and others in Nigeria and Tanzania,
and advised on shareholder agreements of high-net-worth investors in the USA
and Germany.
 We advised Life Song Farms an international company growing strawberries on
the conversation of share capital worth 100,000 USD into loan stock
highlighting the tax benefits and costs for either investment option.
 Assisted in reviewing data and information of an international organization for a
WHT and PAYE assessment of UGX 200 Million and assisted in the voluntary
disclosure of the same to URA;
 Assisted in the tax health check process for an international organization that
revealed a tax liability exposure of over UGX 350 million.
Assisted in making tax objections for the following clients on estimated or
additional assessments raised by the URA: Elitebet Bookmakers Limited; Goal
Uganda; Samta Mines and Minerals; and, JSISPRING Project;

Trained over 50 Small and Medium Enterprises in partnership with GIZ
Creating Perspectives Business for Development (East Africa) focused on
addressing standard internal and external legal and tax challenges for Ugandan
SMEs in the manufacturing sector.
 Advised Africa Green-Tec is a social enterprise, incorporated under the laws of
the Federal Republic of Germany, that develops off-grid sustainable energy
solutions in developing countries to provide rural communities with electricity
and other energy-dependent solutions, it is located in Hain burg, Germany on
the tax implications of subcontracting a subsidiary in Uganda to Engineering,
procurement, and construction of a power plant in Uganda

c) NGO TAX ADVISORY AND COMPLIANCE
 Obtained the Income tax exemption for the period of 2018- 2019,2019-
2020,2020-2021 (2022). for the Wildlife Conservation Society, a 501 non-
governmental organization headquartered at the Bronx Zoo in New York City,
that aims to conserve the world's largest wild places in 14 priority regions.
 Assisted in the objection of an assessment by URA of over UGX 400 million
arising from purported non-payment of WHT on management fees by a not-
for-profit organization Goal Uganda and URA reversed the objection;
Handled Compliance Advisory notices from URA in regards to discrepancies in returns filed through engagement with URA officials and amending returns
hence preventing assessments from being raised against the clients i.e.
Heks/Eper, Marula Creative Consultancy, Agency for Technical Cooperation
and Development
 Handled NSSF Voluntary Disclosure for Agency for Technical Cooperation
and Development resulting in a reduced liability by 700,000,000 UGX.
 Assisted Well Spring Philanthropic Fund based in the USA with conducting
research and preparation of the assessment of the current legal framework on
Fiscal Sponsorship in Uganda and preparation of draft guidelines and reports
for the operation of fiscal sponsorship in Uganda. Carried out basic legal due
diligence exercises on potential investee companies for and on behalf of the
Refugee Investment Facility as part of their pre-screening process.
 Assisted the Wildlife Conservation Society with an application for the refund of
Withholding tax (WHT) of over UGX 500 million.

d) SOCIAL ENTERPRISES TAX ADVISORY
 Co-ordinated and acted for six (6) export-oriented companies in connection
with Trade and Export Readiness with regards to AfCFTA funded by GIZ
Uganda.
 Advising and training over 31 Small and Medium Enterprises Women
supported by Challenges Group on their legal and tax compliance requirements.

 Advising Yunus Social Business Foundation in partnership with Yunus Social
Business gGmbH and Yunus Social Business Uganda in order to ensure that
YSB on their USD 20 Million funds to support social businesses in Uganda and
advised on the grant for Income exemption based on their nature of activities
 Provided tax support training to various social enterprises on a pro bono basis
in partnership with major incubators in Uganda. (2022).
 Advising and training over 31 Small and Medium Enterprises Women
supported by Challenges Group on tax compliance requirements (2022).
